End User License Agreement (EULA)

This End User License Agreement ("Agreement" or "EULA") governs the use of the software extension titled NeoRad Link QR Extension ("Software"), which is developed and distributed by Sanrad Infotech, a company incorporated under the laws of India.

By installing, accessing, or using the Software, you ("User") agree to be bound by the terms of this Agreement. If you do not agree with these terms, do not install or use the Software.

1. Acknowledgment and Relationship to NeoRad
The Software is an independent extension created by Sanrad Infotech intended to function in conjunction with NeoRad, a proprietary medical software owned exclusively by Everrtech Software Ltd. ("Everrtech").

All rights, title, and interest in the NeoRad name, trademarks, trade dress, and intellectual property remain the sole property of Everrtech Software Ltd.. Sanrad Infotech has no ownership, partnership, or legal claim over the NeoRad name or any of its trademarks and uses the name solely for the limited purpose of identifying software compatibility.

2. Grant of License
Subject to the terms of this EULA, Sanrad Infotech grants the User a non-exclusive, non-transferable, revocable, and limited license to install and use the Software solely for:
- Internal business operations, and
- Lawful purposes in connection with licensed copies of Everrtech's NeoRad software.
This license does not convey any ownership rights or title to the Software.

3. License Restrictions
The User shall not, and shall not permit others to:
- Reverse engineer, decompile, disassemble, modify, or attempt to derive the source code of the Software.
- Copy, reproduce, distribute, republish, or resell the Software or any part thereof.
- Use the Software in any unlawful manner or for any unlawful purpose.
- Remove or alter any proprietary notices or labels contained within the Software.
- Use the Software in a way that could interfere with, damage, or impair the functionality of NeoRad or any associated systems or networks.

4. Ownership and Intellectual Property
The Software, including all source code, design, and documentation, is the intellectual property of Sanrad Infotech. All rights not expressly granted to the User are reserved by Sanrad Infotech.

All intellectual property rights in NeoRad and related software belong exclusively to Everrtech Software Ltd., and Sanrad Infotech does not claim any rights, title, or interests therein beyond interoperability as described above.

5. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

SANRAD INFOTECH EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND CONTINUOUS AVAILABILITY.

SANRAD INFOTECH MAKES NO WARRANTY THAT THE SOFTWARE WILL OPERATE WITHOUT INTERRUPTION OR ERROR, OR THAT ANY DEFECTS WILL BE CORRECTED.

6. Limitation of Liability
IN NO EVENT SHALL SANRAD INFOTECH, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING FROM OR RELATING TO THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EVERRTECH SOFTWARE LTD. SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY CLAIMS ARISING FROM OR RELATED TO THE USE OF THIS EXTENSION.

7. Data Privacy
The Software may access clipboard data locally on the User's device solely for the purpose of generating QR codes for integration with NeoRad. No data is collected, transmitted, or stored externally by Sanrad Infotech without explicit user consent.

All data processing occurs locally within the User's environment, ensuring full compliance with privacy obligations.

8. Termination
This Agreement remains effective until terminated. Sanrad Infotech reserves the right to suspend or terminate this license immediately if the User breaches any provision of this Agreement. Upon termination, the User must cease all use of the Software and destroy any copies in their possession.

9. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-law principles. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts located in Coimbatore, Tamil Nadu, India.
